Registration & Incorporation in Hong Kong

BUSINESS REGISTRATION
 
All businesses in Hong Kong are required to be registered. Companies must make the application for business registration at the time of submitting the application for incorporation, that is, before commencing business activity. The application is a straightforward one-stop process and requires the filing of a single application for both incorporation and business registration.
 
Partnerships and sole traders are required to apply within one month of starting business.

 
INCORPORATION OF HONG KONG COMPANIES
 
A company may be formed by either paper submission; or E-incorporation. Paper submission means submitting hard copies of documents to the Companies Registry in person or by post. E-incorporation means electronic submission of incorporation documents to the Companies Registry through the e-Registry (http://www.eregistry.gov.hk).
 
The Companies Registry examines the application. If all the requirement of the Companies Ordinance are complied with, it will issue a certificate of incorporation within four working days together with a business registration certificate.
 
Initial Registration of non-Hong Kong Company
 
A foreign company which intends to carry on an activity in Hong Kong, as a non-Hong Kong company, must declare its presence to the Companies Registry within one month from its establishment in Hong Kong.
 
If the Registrar is satisfied with the documents filed, a Certificate of Registration of Non-Hong Kong Company and a business registration certificate will be issued within 14 working days and the name of the company will be entered into the register of non-Hong Kong companies kept by Registrar.
